MyProcureHub Platform Terms of Use

Operated by Brilliance Innovation Pvt Ltd (MyProcureHub / ProcureHub) at myprocurehub.com. This document applies uniformly across all ProcureHub hubs.

Introduction

These Terms of Use ("Terms") govern your access to and use of the ProcureHub platform operated by Brilliance Innovation Pvt Ltd ("Company", "we", "us", "our"), including the Main Site, Buyer Hub, Seller Hub, Admin Hub, Affiliate Hub, and Leadership Hub, available at https://myprocurehub.com and related sub-domains (collectively, the "Platform").

By registering, logging in, posting a requirement, submitting a bid, accepting a contract, or otherwise using the Platform, you agree to these Terms. If you use the Platform on behalf of an organisation, you represent that you have authority to bind that organisation.

If you do not agree, do not use the Platform.

1. Definitions

  • Buyer: a user that posts procurement requirements, evaluates bids, and awards business.
  • Seller (Vendor): a user that discovers requirements and submits bids or offers.
  • User: any Buyer, Seller, Affiliate, Admin, or authorised internal user.
  • Content: data, documents, bids, requirements, messages, and materials you submit.
  • Services: marketplace discovery, RFx/bidding, chat, contracts, ACC/purchase orders, payments, subscriptions, AI tools, and related features.

2. Eligibility and Account

  • You must be at least 18 and capable of entering binding contracts. Business users must be duly constituted and authorised.
  • Provide accurate, current registration and KYC information and keep it updated.
  • You are responsible for credentials and all account activity. Notify us of unauthorised use promptly.
  • We may verify PAN, GST, or business credentials and suspend fraudulent or inaccurate accounts.

3. Use of the Platform

3.1 Permitted use

You may use the Platform only for lawful B2B procurement and selling in accordance with these Terms and Indian law.

3.2 Prohibited conduct

  • Illegal activity or violation of contract, IT, competition, export, or tax/GST law.
  • False, misleading, or defamatory Content; IP or privacy infringement; malware.
  • Bid rigging, collusion, fake accounts, or fee/anonymity circumvention.
  • Scraping, reverse engineering, or unauthorised access to systems or user data.
  • Spam, unsolicited bulk outreach, or incentivised fake sign-ups (including affiliates).
  • Misrepresentation of authority, qualifications, or ability to perform.
  • Content that violates moderation rules or applicable law.

4. Buyer Terms

  • You represent authority to procure and that requirement information is accurate.
  • Posting a requirement does not obligate you to award any bid.
  • You are responsible for awards, purchase orders, ACC acceptance, delivery, and payments to Sellers.
  • The Platform facilitates contracting but is not a party to Buyer–Seller transactions unless stated in writing.

5. Seller Terms

  • You represent authority to offer goods/services and that bids are genuine and honourable where binding.
  • Do not submit bids you cannot fulfil or that violate law or licensing requirements.
  • Comply with GST, tax, invoicing, and delivery obligations for awarded work.
  • Profiles and public portal content must be truthful.

6. Transactions, Contracts, and Payments

  • Commercial terms are between Buyer and Seller unless the Platform provides a specific payment feature.
  • ACC, POs, e-invoices, and delivery workflows record progress; legal effect depends on your agreements and law.
  • Razorpay and other integrations are subject to provider terms.
  • GST, TDS, and statutory compliance are the transacting parties' responsibility unless we act as collection agent in a specific flow.

7. Subscriptions, Fees, and Affiliate Programme

  • Some features require fees as displayed on the Platform or in an order form.
  • Fees are exclusive of GST unless stated otherwise.
  • Subscription fees are generally non-refundable except where required by law or our refund policy.
  • Affiliates must follow anti-spam rules and accept commission clawback for fraud or chargebacks.

8. AI-Assisted Features

AI tools provide suggestions only and may be inaccurate. Review all outputs before use. AI is not legal, tax, or procurement advice. You remain responsible for requirements, bids, awards, and compliance.

9. Intellectual Property and Content

  • Platform software, design, and branding are owned by the Company or licensors.
  • You retain Content ownership and grant us a licence to host, use, and process it to operate the Services.
  • We may use aggregated or de-identified data for analytics and improvement.

10. Privacy and Data Protection

Your use is governed by our Privacy Policy. We process data under the IT Act, DPDP Act, and Privacy Policy. You represent that you have necessary consents for data you upload.

11. Disclaimers

The Platform is provided "as is" and "as available". We disclaim warranties to the fullest extent permitted by law. We do not guarantee counterparty performance or suitability of users, requirements, or bids.

12. Limitation of Liability

To the maximum extent permitted by law, we are not liable for indirect, consequential, or punitive damages, or loss of profits or data arising from Platform use or user transactions. Our aggregate liability shall not exceed the greater of (a) fees paid to us in the twelve (12) months before the claim, or (b) INR 10,000. Nothing limits non-excludable liability.

13. Indemnity

You indemnify the Company and its affiliates from claims arising from your use, Content, breach of these Terms, or disputes with other users, except to the extent caused by our gross negligence or wilful misconduct.

14. Termination and Suspension

We may suspend or terminate access for breach, fraud, or legal requirements. You may request account closure via support. Surviving provisions include IP, indemnity, liability limits, and governing law.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of India. Courts at Bengaluru, Karnataka shall have exclusive jurisdiction, subject to mandatory law. Contact us in writing before formal proceedings.

  • These Terms, the Privacy Policy, and feature-specific terms constitute the entire agreement.
  • We may update Terms; material changes will be posted with a new effective date.
  • Invalid provisions do not affect the remainder. You may not assign without consent.
  • We are not responsible for third-party sites linked from the Platform.
